TERMS OF USE

These Terms of Use ("Terms") govern your use of the FlexiPivot Power BI custom visual ("Visual") provided by Precision BI Solutions ("we," "us," or "our"). By using the Visual, you agree to be bound by these Terms.

## 1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Visual for your internal business purposes within Microsoft Power BI.

## 2. Restrictions

You agree not to:

- Reverse engineer, decompile, or disassemble the Visual
- Modify, adapt, or create derivative works based on the Visual
- Distribute, sublicense, lease, rent, or lend the Visual to third parties
- Use the Visual for any unlawful purpose or in violation of any applicable laws
- Remove or alter any proprietary notices, labels, or marks on the Visual

## 3. Intellectual Property

The Visual, including all intellectual property rights therein, is and shall remain the exclusive property of Precision BI Solutions. These Terms do not grant you any ownership rights in the Visual.

## 4. Data Processing

The Visual processes data solely within your Power BI environment. We do not collect, store, or transmit your data to external servers. All data processing occurs locally within the Power BI service or Power BI Desktop application.

## 5. Disclaimer of Warranties

THE VISUAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:
- The Visual will meet your specific requirements
- The Visual will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Visual will be accurate or reliable

## 6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRECISION BI SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

- Your use or inability to use the Visual
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any bugs, viruses, or other harmful code that may be transmitted through the Visual
- Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content made available through the Visual

## 7. Indemnification

You agree to indemnify, defend, and hold harmless Precision BI Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Visual or violation of these Terms.

## 8. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Effective Date" at the top of these Terms. Your continued use of the Visual after any such changes constitutes your acceptance of the new Terms.

## 9. Termination

We may terminate or suspend your access to the Visual immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Visual will immediately cease.

## 10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

## 11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

## 12. Entire Agreement

These Terms constitute the entire agreement between you and Precision BI Solutions regarding the use of the Visual and supersede all prior agreements and understandings, whether written or oral.
